These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Yarket Inc., a Wyoming corporation with its principal place of business at 312 W 2nd St, Unit A875, Casper, WY 82601 ("Yarket," "we," "us," or "our"). By accessing or using the Yarket Growth Platform, website at yarket.com, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you are entering into these Terms on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Services.
These Terms supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.
Yarket provides a subscription-based growth platform (the "Yarket Growth Platform") that delivers continuous learning, content, and digital services to organizations under a flat monthly subscription model. Services are organized into Growth Areas, which may include but are not limited to:
The specific services included in each Growth Area are described on yarket.com and may be updated from time to time at Yarket's sole discretion. Yarket reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to active subscribers.
You must be at least eighteen (18) years of age to access or use the Services. By accessing or using the Services, you represent and warrant that you meet this age requirement.
Each subscription is limited to one (1) account per organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Yarket immediately at moc.tekray@olleh of any unauthorized use of your account or any other breach of security.
Yarket reserves the right to refuse service, terminate accounts, or cancel subscriptions at its sole discretion, including in cases of suspected fraudulent, abusive, or otherwise unacceptable use of the Services.
Yarket offers the following subscription plans, subject to change:
Enterprise plans are available for organizations requiring more than five Growth Areas or custom team arrangements. Enterprise pricing is determined on a case-by-case basis.
All subscriptions are billed on a monthly basis and automatically renew at the end of each billing cycle unless cancelled prior to renewal. By subscribing, you authorize Yarket and its payment processor, Stripe, Inc., to charge your designated payment method on a recurring monthly basis for the applicable subscription fee plus any applicable taxes.
You acknowledge that your subscription will automatically renew and that you will be charged unless you cancel your subscription in accordance with Section 4.4 of these Terms.
Yarket operates a pro-rated refund policy. If you cancel your subscription mid-billing cycle, you are entitled to a pro-rated refund for any unused portion of the current billing period, calculated on a daily basis. Refunds will be processed to the original payment method within ten (10) business days of the cancellation date.
No refunds will be issued for Growth Areas that have been partially delivered within the current billing cycle where work has already commenced. Yarket reserves the right to deny refund requests that it reasonably determines to be fraudulent or made in bad faith.
You may cancel your subscription at any time by contacting Yarket at moc.tekray@olleh or through your account dashboard. Cancellations take effect at the end of the current billing cycle. You will retain access to the Services through the end of the paid period.
Yarket reserves the right to cancel your subscription immediately without refund in the event of a material breach of these Terms, including but not limited to non-payment, fraudulent activity, or violation of any provision herein.
Yarket reserves the right to modify subscription pricing at any time. You will be notified of any price changes at least thirty (30) days in advance via email to the address associated with your account. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing.
Upon receipt of full payment for the applicable billing period in which a deliverable was produced, Yarket assigns to the Client full ownership of all original works, content, and deliverables specifically created by Yarket for the Client under the subscription ("Deliverables"). This assignment includes all intellectual property rights, including copyright, in such Deliverables.
For clarity, ownership transfers on a per-billing-cycle basis. Deliverables produced in a billing period for which payment has not been received remain the property of Yarket Inc. until payment is made in full.
Notwithstanding Section 5.1, Yarket retains all rights, title, and interest in and to:
No license to any Yarket intellectual property is granted to the Client except as expressly set forth in these Terms.
"Yarket," "Yarket Growth Platform," the Yarket logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yarket Inc. You must not use such marks without the prior written permission of Yarket. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
By submitting, uploading, or otherwise providing content, materials, data, or information to Yarket in connection with the Services ("Client Content"), you grant Yarket a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and process such Client Content solely for the purpose of providing the Services to you. You represent and warrant that you own or have the necessary rights to all Client Content and that such content does not infringe any third-party intellectual property rights.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
Yarket reserves the right to terminate access to the Services immediately and without notice for any violation of this Section.
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information").
Each party agrees to protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Neither party will disclose the other party's Confidential Information to any third party without prior written consent, except as required by law.
This confidentiality obligation does not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided that the disclosing party gives prompt written notice to the other party.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
YARKET DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
YARKET MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT AVAILABLE THROUGH THE SERVICES OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YARKET INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF YARKET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YARKET'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO YARKET IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
You agree to defend, indemnify, and hold harmless Yarket Inc. and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Yarket reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Yarket, and you agree to cooperate with Yarket's defense of such claims.
Before initiating any formal dispute resolution proceeding, you agree to first contact Yarket at moc.tekray@olleh and attempt to resolve the dispute informally. Yarket will attempt to resolve the dispute informally by contacting you within thirty (30) days of receiving your notice. If the dispute is not resolved within sixty (60) days of the initial notice, either party may proceed to formal dispute resolution.
EXCEPT AS SET FORTH IN SECTION 11.4, YOU AND YARKET AGREE THAT ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES ("DISPUTES") SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.
Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in Casper, Wyoming, or, at either party's election, by telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND YARKET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, trade secrets, or confidential information.
These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. To the extent that any Dispute is not subject to arbitration under Section 11.2, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Natrona County, Wyoming.
Yarket respects the intellectual property rights of others and expects users of the Services to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), 17 U.S.C. § 512, Yarket will respond promptly to claims of copyright infringement that are reported to our designated copyright agent.
If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information in writing:

If you believe that content you posted was removed by mistake or misidentification, you may submit a counter-notification to hello@yarket.com containing the information required under 17 U.S.C. § 512(g)(3). Yarket will process counter-notifications in accordance with applicable law.
Yarket will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances and at Yarket's sole discretion.
Your use of the Services is also governed by Yarket's Privacy Policy, available at yarket.com/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.
The Services may contain links to third-party websites or services that are not owned or controlled by Yarket. Yarket has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. Yarket uses Stripe, Inc. as its payment processor and Calendly as its scheduling platform. Use of these third-party services is subject to their respective terms of service and privacy policies.
You acknowledge and agree that Yarket shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods, or services.
Yarket reserves the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on yarket.com and sending an email to the address associated with your account at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must cancel your subscription before the effective date of the changes.
Either party may terminate these Terms and the subscription at any time in accordance with the cancellation provisions set forth in Section 4.4. Yarket may also terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination of these Terms: (a) your right to use the Services will immediately cease; (b) Yarket will provide you with any Deliverables produced and paid for up to the termination date; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
No waiver by Yarket of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Yarket to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, together with the Privacy Policy and any other legal notices or agreements published by Yarket in connection with the Services, constitute the entire agreement between you and Yarket with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.

Yarket does not receive, store, or process your payment card information, billing address, or financial data. When you book a discovery call or other appointment through yarket.com, the scheduling functionality is provided by Calendly, LLC. Yarket does not store or process the information you provide during the booking process. Yarket takes reasonable technical and organizational measures to protect the security of its website and communications. yarket.com is served over HTTPS using SSL/TLS encryption to protect data transmitted between your browser and our website.
However, no method of transmission over the Internet or method of electronic storage is one hundred percent secure. The legal bases for any processing of personal data by Yarket's third-party providers include: performance of a contract (Stripe, Calendly), legitimate interests (Google Analytics), and legal compliance.
If you are a resident of California, you have certain rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) with respect to your personal information. These rights include:

The Services are intended exclusively for individuals who are eighteen (18) years of age or older. Yarket does not knowingly collect, solicit, or process personal information from anyone under the age of eighteen. If we become aware that a person under the age of eighteen has provided personal information in connection with the Services, we will take steps to delete such information from our records and to direct the relevant third-party processors to do the same.

Yarket is based in the United States. If you are accessing the Services from outside the United States, please be aware that information collected by our third-party service providers (Stripe, Calendly, Google Analytics) may be transferred to, stored, and processed in the United States or other countries where those providers operate.
For users in the EEA or United Kingdom, such transfers are conducted in accordance with applicable data protection law, including through the use of Standard Contractual Clauses or other lawful transfer mechanisms as applicable to each third-party provider. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. Yarket reserves the right to update or modify this Privacy Policy at any time. We will notify you of material changes by posting the revised Privacy Policy on yarket.com with an updated effective date. For significant changes, we will also send a notification to the email address associated with your account at least thirty (30) days before the changes take effect.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Privacy Policy. If you do not agree to the revised Privacy Policy, you must discontinue use of the Services.
