1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Yarket Inc., a Wyoming corporation with its principal place of business at 312 W 2nd St, Unit A875, Casper, WY 82601 ("Yarket," "we," "us," or "our"). By accessing or using the Yarket Growth Platform, website at yarket.com, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you are entering into these Terms on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Services.

These Terms supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.

2. Description of Services

Yarket provides a subscription-based growth platform (the "Yarket Growth Platform") that delivers continuous learning, content, and digital services to organizations under a flat monthly subscription model. Services are organized into Growth Areas, which may include but are not limited to:

• Training & LMS
• Customer Education
• Website & Digital
• Sales Enablement
• Content & Podcasts
• Learning Innovation

The specific services included in each Growth Area are described on yarket.com and may be updated from time to time at Yarket's sole discretion. Yarket reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to active subscribers.

3. Eligibility and Account Registration

You must be at least eighteen (18) years of age to access or use the Services. By accessing or using the Services, you represent and warrant that you meet this age requirement.

Each subscription is limited to one (1) account per organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Yarket immediately at moc.tekray@olleh of any unauthorized use of your account or any other breach of security.

Yarket reserves the right to refuse service, terminate accounts, or cancel subscriptions at its sole discretion, including in cases of suspected fraudulent, abusive, or otherwise unacceptable use of the Services.

4. Subscription, Billing, and Payment

4.1 Subscription Plans

Yarket offers the following subscription plans, subject to change:

• Growth Partner — $1,500 per month — 1 Growth Area
• Growth Engine — $3,000 per month — 3 Growth Areas
• Growth Department — $6,000 per month — 5 Growth Areas

Enterprise plans are available for organizations requiring more than five Growth Areas or custom team arrangements. Enterprise pricing is determined on a case-by-case basis.

4.2 Automatic Renewal and Billing

All subscriptions are billed on a monthly basis and automatically renew at the end of each billing cycle unless cancelled prior to renewal. By subscribing, you authorize Yarket and its payment processor, Stripe, Inc., to charge your designated payment method on a recurring monthly basis for the applicable subscription fee plus any applicable taxes.

You acknowledge that your subscription will automatically renew and that you will be charged unless you cancel your subscription in accordance with Section 4.4 of these Terms.

4.3 Refund Policy

Yarket operates a pro-rated refund policy. If you cancel your subscription mid-billing cycle, you are entitled to a pro-rated refund for any unused portion of the current billing period, calculated on a daily basis. Refunds will be processed to the original payment method within ten (10) business days of the cancellation date.

No refunds will be issued for Growth Areas that have been partially delivered within the current billing cycle where work has already commenced. Yarket reserves the right to deny refund requests that it reasonably determines to be fraudulent or made in bad faith.

4.4 Cancellation

You may cancel your subscription at any time by contacting Yarket at moc.tekray@olleh or through your account dashboard. Cancellations take effect at the end of the current billing cycle. You will retain access to the Services through the end of the paid period.

Yarket reserves the right to cancel your subscription immediately without refund in the event of a material breach of these Terms, including but not limited to non-payment, fraudulent activity, or violation of any provision herein.

4.5 Price Changes

Yarket reserves the right to modify subscription pricing at any time. You will be notified of any price changes at least thirty (30) days in advance via email to the address associated with your account. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing.

5. Intellectual Property

5.1 Client Ownership of Deliverables

Upon receipt of full payment for the applicable billing period in which a deliverable was produced, Yarket assigns to the Client full ownership of all original works, content, and deliverables specifically created by Yarket for the Client under the subscription ("Deliverables"). This assignment includes all intellectual property rights, including copyright, in such Deliverables.

For clarity, ownership transfers on a per-billing-cycle basis. Deliverables produced in a billing period for which payment has not been received remain the property of Yarket Inc. until payment is made in full.

5.2 Yarket Intellectual Property

Notwithstanding Section 5.1, Yarket retains all rights, title, and interest in and to:

• The Yarket Growth Platform, including all software, systems, processes, methodologies, frameworks, and underlying technology
• All pre-existing intellectual property, tools, templates, and proprietary materials used in the delivery of Services
• The Yarket brand, name, logo, trademarks, service marks, trade dress, and all related intellectual property
• All content on yarket.com not specifically created as a Client Deliverable

No license to any Yarket intellectual property is granted to the Client except as expressly set forth in these Terms.

5.3 Trademarks

"Yarket," "Yarket Growth Platform," the Yarket logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yarket Inc. You must not use such marks without the prior written permission of Yarket. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

5.4 Client Content License

By submitting, uploading, or otherwise providing content, materials, data, or information to Yarket in connection with the Services ("Client Content"), you grant Yarket a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and process such Client Content solely for the purpose of providing the Services to you. You represent and warrant that you own or have the necessary rights to all Client Content and that such content does not infringe any third-party intellectual property rights.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit or procure the sending of any unsolicited or unauthorized advertising or promotional material
• To impersonate or attempt to impersonate Yarket, a Yarket employee, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services
• To use the Services to develop a competing product or service
• To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any Yarket software or technology

Yarket reserves the right to terminate access to the Services immediately and without notice for any violation of this Section.

7. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information").

Each party agrees to protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Neither party will disclose the other party's Confidential Information to any third party without prior written consent, except as required by law.

This confidentiality obligation does not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided that the disclosing party gives prompt written notice to the other party.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

YARKET DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YARKET MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT AVAILABLE THROUGH THE SERVICES OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YARKET INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF YARKET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YARKET'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO YARKET IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

10. Indemnification

You agree to defend, indemnify, and hold harmless Yarket Inc. and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your Client Content
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable law or regulation

Yarket reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Yarket, and you agree to cooperate with Yarket's defense of such claims.

11. Dispute Resolution and Mandatory Arbitration

11.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Yarket at moc.tekray@olleh and attempt to resolve the dispute informally. Yarket will attempt to resolve the dispute informally by contacting you within thirty (30) days of receiving your notice. If the dispute is not resolved within sixty (60) days of the initial notice, either party may proceed to formal dispute resolution.

11.2 Binding Arbitration

EXCEPT AS SET FORTH IN SECTION 11.4, YOU AND YARKET AGREE THAT ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES ("DISPUTES") SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.

Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in Casper, Wyoming, or, at either party's election, by telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND YARKET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

11.4 Exceptions to Arbitration

Either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, trade secrets, or confidential information.

11.5 Governing Law and Venue

These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. To the extent that any Dispute is not subject to arbitration under Section 11.2, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Natrona County, Wyoming.

12. DMCA and Copyright Policy

12.1 Copyright Infringement Claims

Yarket respects the intellectual property rights of others and expects users of the Services to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), 17 U.S.C. § 512, Yarket will respond promptly to claims of copyright infringement that are reported to our designated copyright agent.

12.2 Designated Copyright Agent

If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information in writing:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and where it is located on the Services
• Your contact information, including address, telephone number, and email address
• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner

12.3 Counter-Notification

If you believe that content you posted was removed by mistake or misidentification, you may submit a counter-notification to hello@yarket.com containing the information required under 17 U.S.C. § 512(g)(3). Yarket will process counter-notifications in accordance with applicable law.

12.4 Repeat Infringers

Yarket will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances and at Yarket's sole discretion.

13. Privacy

Your use of the Services is also governed by Yarket's Privacy Policy, available at yarket.com/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

14. Third-Party Services and Links

The Services may contain links to third-party websites or services that are not owned or controlled by Yarket. Yarket has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. Yarket uses Stripe, Inc. as its payment processor and Calendly as its scheduling platform. Use of these third-party services is subject to their respective terms of service and privacy policies.

You acknowledge and agree that Yarket shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods, or services.

15. Modifications to Terms

Yarket reserves the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on yarket.com and sending an email to the address associated with your account at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must cancel your subscription before the effective date of the changes.

16. Termination

Either party may terminate these Terms and the subscription at any time in accordance with the cancellation provisions set forth in Section 4.4. Yarket may also terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination of these Terms: (a) your right to use the Services will immediately cease; (b) Yarket will provide you with any Deliverables produced and paid for up to the termination date; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

17. Severability and Waiver

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No waiver by Yarket of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Yarket to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Yarket in connection with the Services, constitute the entire agreement between you and Yarket with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.

1. Introduction

Yarket Inc. ("Yarket," "we," "us," or "our") is a Wyoming corporation with its principal place of business at 312 W 2nd St, Unit A875, Casper, WY 82601. This Privacy Policy explains how information is collected, used, and disclosed when you visit yarket.com or use the Yarket Growth Platform (collectively, the "Services").

Yarket is designed to minimize direct data collection. We do not operate our own databases of personal information. Instead, we rely on trusted third-party services -- Stripe for payment processing, Calendly for appointment scheduling, and Google Analytics for website analytics -- each of which operates under its own privacy and security standards.

By accessing or using the Services, you acknowledge that you have read and understood this Privacy Policy. If you do not agree with the terms of this Privacy Policy, please do not access or use the Services.

This Services are intended exclusively for individuals who are eighteen (18) years of age or older. We do not knowingly collect or process personal information from anyone under the age of eighteen.

2. Information We Do Not Collect Directly

Yarket does not directly collect, store, or process personal information such as your name, email address, mailing address, phone number, or payment card details through its own systems or servers. We do not maintain a proprietary customer database of personal information.

We do not use cookies, tracking pixels, or similar tracking technologies on yarket.com beyond what is automatically implemented by Google Analytics as described in Section 3.

We do not use your information for direct marketing, newsletters, or promotional communications. We do not sell, rent, lease, or trade your personal information to any third party under any circumstances.

3. Information Collected by Third-Party Services

The following third-party services are integrated into yarket.com or the Yarket Growth Platform. Each service operates independently and is governed by its own privacy policy. Yarket does not control how these third parties collect, store, or use your information.

3.1 Stripe (Payment Processing)

When you subscribe to the Yarket Growth Platform, all payment processing is handled exclusively by Stripe, Inc. Yarket does not receive, store, or process your payment card information, billing address, or financial data. This information is submitted directly to Stripe and is governed by Stripe's Privacy Policy, available at stripe.com/privacy.

Stripe may collect and store the following information in connection with payment processing:

• Name and billing address
• Payment card details (card number, expiration date, CVV)
• Email address
• Transaction history
• Device and browser information for fraud prevention purposes

Stripe is certified as a PCI DSS Level 1 Service Provider, the highest level of payment security certification available. For questions about how Stripe handles your payment data, please contact Stripe directly or review their privacy policy at stripe.com/privacy.

3.2 Calendly (Appointment Scheduling)

When you book a discovery call or other appointment through yarket.com, the scheduling functionality is provided by Calendly, LLC. Yarket does not store or process the information you provide during the booking process. This information is submitted directly to Calendly and is governed by Calendly's Privacy Policy, available at calendly.com/privacy.

Calendly may collect and store the following information when you book an appointment:

• Name
• Email address
• Any additional information you voluntarily provide in the booking form
• Appointment preferences and scheduling data

3.3 Google Analytics (Website Analytics)

Yarket uses Google Analytics, a web analytics service provided by Google LLC, to understand how visitors interact with yarket.com. Google Analytics collects information automatically through cookies and similar technologies when you visit our website. Yarket does not control this data collection and does not have access to individually identifiable information collected by Google Analytics.

Google Analytics may automatically collect the following information:

• IP address (anonymized where required by applicable law)
• Browser type and version
• Device type and operating system
• Pages visited and time spent on each page
• Referring website or source
• Geographic location (country and region level)
• Session duration and user behavior patterns

This information is used in aggregate form to analyze website traffic, improve the Services, and understand user behavior. Google Analytics data is processed by Google LLC and is subject to Google's Privacy Policy, available at policies.google.com/privacy.

4. How Information Is Used

Because Yarket does not directly collect personal information, our use of information is limited to the following:

• Facilitating payment processing through Stripe for subscription billing and renewals
• Facilitating appointment scheduling through Calendly for discovery calls
• Analyzing aggregated, anonymized website traffic data through Google Analytics to improve the Services
• Communicating with you in response to direct inquiries submitted to moc.tekray@olleh

We do not use your information for automated decision-making, profiling, targeted advertising, or any purpose beyond what is described in this Privacy Policy.

5. Data Sharing and Disclosure

Yarket does not sell, rent, lease, or otherwise disclose your personal information to third parties except in the following limited circumstances:

5.1 Third-Party Service Providers

As described in Section 3, personal information is collected and processed directly by Stripe, Calendly, and Google LLC. Yarket shares only the minimum information necessary with these providers to facilitate the Services. Each provider is contractually obligated to protect your information and to use it only for the purposes for which it was shared.

5.2 Legal Requirements

Yarket may disclose information if required to do so by law or in the good faith belief that such disclosure is necessary to: (a) comply with a legal obligation, court order, or governmental request; (b) protect and defend the rights or property of Yarket; (c) prevent or investigate possible wrongdoing in connection with the Services; or (d) protect the personal safety of users of the Services or the public.

5.3 Business Transfers

In the event of a merger, acquisition, reorganization, bankruptcy, or sale of all or a portion of Yarket's assets, your information held by third-party processors may be transferred as part of that transaction. We will notify you via email or prominent notice on yarket.com before your information is transferred and becomes subject to a different privacy policy.

6. Data Retention

Yarket does not maintain its own database of personal information and therefore does not have a direct data retention policy for personal data. Data retention for information collected by Stripe, Calendly, and Google Analytics is governed by the respective privacy policies of those services.

Email communications sent directly to moc.tekray@olleh may be retained for as long as necessary to respond to your inquiry and for a reasonable period thereafter for record-keeping purposes. You may request deletion of such communications by contacting us at moc.tekray@olleh.

7. Data Security

Yarket takes reasonable technical and organizational measures to protect the security of its website and communications. yarket.com is served over HTTPS using SSL/TLS encryption to protect data transmitted between your browser and our website.

However, no method of transmission over the Internet or method of electronic storage is one hundred percent secure. While we strive to use commercially acceptable means to protect information, we cannot guarantee absolute security. The security of your payment and personal data is the responsibility of Stripe and Calendly respectively, both of which employ industry-standard security measures.

In the event of a data breach involving information directly held by Yarket, we will notify affected individuals and relevant authorities as required by applicable law.

8. Your Rights Under GDPR (European Users)

If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, you may have certain rights under the General Data Protection Regulation (GDPR) or applicable local data protection laws with respect to personal data processed by our third-party service providers on your behalf. These rights may include:

• Right of Access: the right to request a copy of the personal data held about you
• Right to Rectification: the right to request correction of inaccurate or incomplete personal data
• Right to Erasure: the right to request deletion of your personal data, subject to certain exceptions
• Right to Restriction of Processing: the right to request that processing of your personal data be restricted
• Right to Data Portability: the right to receive your personal data in a structured, commonly used, and machine-readable format
• Right to Object: the right to object to processing of your personal data for certain purposes
• Right to Withdraw Consent: where processing is based on consent, the right to withdraw consent at any time

Because personal data is collected and processed directly by Stripe, Calendly, and Google LLC, requests to exercise these rights should be directed to those providers. To exercise rights with respect to any email communications held by Yarket, please contact us at moc.tekray@olleh.

You also have the right to lodge a complaint with your local data protection supervisory authority if you believe your rights have been violated.

The legal bases for any processing of personal data by Yarket's third-party providers include: performance of a contract (Stripe, Calendly), legitimate interests (Google Analytics), and legal compliance.

9. Your Rights Under CCPA (California Residents)

Because most personal data is held by Stripe, Calendly, and Google LLC, we may direct you to those providers to fulfill your request.

California residents may also submit requests to opt out of Google Analytics tracking by using the opt-out mechanism described in Section 3.3.

10. Children's Privacy

The Services are intended exclusively for individuals who are eighteen (18) years of age or older. Yarket does not knowingly collect, solicit, or process personal information from anyone under the age of eighteen. If we become aware that a person under the age of eighteen has provided personal information in connection with the Services, we will take steps to delete such information from our records and to direct the relevant third-party processors to do the same.

Yarket is based in the United States. Yarket reserves the right to update or modify this Privacy Policy at any time. We will notify you of material changes by posting the revised Privacy Policy on yarket.com with an updated effective date.
